These Terms of Use govern your use of the Unico Account and access to the B2B Portal, maintained by Unico Tecnologia da Informação S.A. ("Unico"). They apply to all users, partner companies, and other entities that use the B2B Portal.

Your access and use of the B2B Portal imply your full and unrestricted acceptance of these Terms. To understand how your personal data is processed, please consult our Unico Account Privacy Notice, which complies with applicable state and federal laws.

1. Account Creation and Registration

To access and use the B2B Portal, you must register a Unico Account linked to your organization. The account creation process requires you to provide:

  • Valid corporate information (such as company name and EIN or equivalent).

  • Personal information of the responsible user (including name, corporate email, and job title).

  • Your explicit acceptance of these Terms of Use.

Unico reserves the right to verify the accuracy of the information provided. Accounts with inconsistent or fraudulent data, or in cases of misuse, may be refused, suspended, or deleted.

2. User Responsibilities

By using the Unico Account, you agree to:

  • Legal and Authorized Use: Use the account exclusively for lawful purposes and in compliance with all applicable laws, avoiding any illegal acts or actions contrary to these Terms.

  • Account Security:

    • Create and maintain strong, unique, and confidential passwords.

    • Activate and use two-factor authentication (2FA) whenever it is available.

    • Not share your login credentials with third parties and notify Unico immediately of any suspected misuse or unauthorized access.

    • Ensure the security and proper use of your login credentials.

  • Accuracy and Updates of Information:

    • Keep all your and your organization's registration information up to date, including email address, contact information, and corporate data.

    • Provide only accurate information about yourself and others, if your access profile permits.

    • Acknowledge that inaccurate information may prevent you from using the Unico Account.

You are expressly prohibited from taking the following actions:

  • Performing any act that harms Unico, other users, or third parties.

  • Misrepresenting yourself or your affiliation with any person or entity.

  • Licensing, selling, renting, or transferring access to the Unico Account without Unico's express authorization.

  • Using the Unico Account to develop competing products or attempting to reverse-engineer its source code.

3. Account Access and Password Recovery

Access to the B2B Portal is made through your Unico Account, which uses the security protocols of the Identity system, following the OAuth 2.0 standard. In the event of lost access or a forgotten password, recovery can be requested directly on the login interface using an automated email-based process.

Data collected and generated through the use of the Unico Account is processed by Unico for the following purposes:

  • Authentication and Access: To ensure the authenticity and access control to our products and services.

  • Management and Support: For account management and the provision of technical support.

  • Continuous Improvement: To enhance the quality and functionality of our services.

  • Legal Compliance: To comply with legal, regulatory, and fiscal obligations.

The processing of this data is carried out in full compliance with our Privacy Notice, adhering to the principles and guidelines of applicable data privacy laws, such as those that may be in place in your state.

5. Limitations of Unico's Liability

Unico will not, under any circumstances, be liable for any damages or losses arising from:

  • Misuse: Any damages caused by the misuse of the Unico Account, including the insertion of incorrect data or the introduction of viruses.

  • Technical Problems: Failures, unavailability, or technical impossibilities of the system resulting from the misuse of the account or technical problems on the devices you use to access it.

6. Account Termination and Deletion

The Unico Account may be terminated by:

  • Request: Upon a formal request from the user or organization.

  • Unico's Decision: In the event of a violation of these Terms, misuse of the B2B Portal, or prolonged inactivity.

Upon account termination, all associated access will be revoked. The data may be deleted or anonymized in compliance with applicable data protection laws.

7. General Provisions

Unico may update these Terms of Use at any time with prior notice. Your continued use of the B2B Portal after the update signifies your agreement with the new terms.
